These Terms of Service ("Terms") govern your access to and use of the website privateoffice.io and the related Private Office platform (together, the "Service"), operated by Tsadik, a company incorporated in the Republic of Mauritius under registration number I25000256 ("we", "us"). By accessing the Service you agree to be bound by these Terms.
1. What we do — and what we do not do
Private Office is a private-office orchestration platform. We help you design and coordinate cross-border wealth, residency and structuring setups, and we connect you with regulated execution partners (banks, trustees, law firms, tax advisors).
We are not a bank, broker-dealer, investment adviser, tax adviser or law firm. The Service does not constitute legal, tax, investment or accounting advice. Any plan, comparison or insight produced by the Service is informational only and should be validated with appropriately licensed professionals before you act on it.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract. The Service is intended for high net-worth individuals and their advisors. You may not use it if you are subject to comprehensive sanctions or are otherwise prohibited from using it under applicable law.
3. Accounts & KYC
To access certain features we may require you to complete identity and source-of-funds verification (KYC / KYB) through regulated partners such as Sumsub. You agree to provide accurate and up-to-date information and to notify us of any material change. We may suspend or terminate access if verification cannot be completed or if we reasonably suspect misuse.
4. Acceptable use
You agree not to:
- Use the Service for unlawful purposes, including money laundering, sanctions evasion or financing of terrorism;
- Reverse-engineer, scrape or attempt to extract the underlying models, prompts or data without authorisation;
- Submit false, misleading or fraudulent information;
- Use the Service to provide regulated advice to third parties without our written agreement.
5. Fees
Access to the public website is free. Mandates, plans and orchestration services are subject to written engagement letters and the fees stated therein. Fees charged by third-party execution partners are governed by their own contracts with you.
6. Confidentiality
We treat all information you share with us as confidential and use it only to deliver the Service, comply with the law, or with your express instruction. Our handling of personal data is described in our Privacy Policy.
7. Intellectual property
The Service, including its software, content, branding and proprietary methodology, is owned by Tsadik or its licensors and protected by intellectual-property law. You receive a limited, revocable, non-transferable licence to use the Service for its intended purpose.
8. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any plan will produce a particular financial or tax outcome.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
10. Indemnity
You agree to indemnify and hold us harmless from any claim, loss, liability or expense arising out of your breach of these Terms or your misuse of the Service.
11. Suspension & termination
We may suspend or terminate your access to the Service at any time if you breach these Terms, if continued provision would expose us to legal or regulatory risk, or if required by law. You may stop using the Service at any time.
12. Governing law & jurisdiction
These Terms are governed by the laws of the Republic of Mauritius. Any dispute arising out of or in connection with the Service shall be submitted to the exclusive jurisdiction of the courts of Mauritius, without prejudice to mandatory consumer protections available to you in your country of residence.
13. Changes
We may update these Terms from time to time. Material changes will be signalled by updating the "Last updated" date and, for onboarded clients, by email. Continued use of the Service after a change constitutes acceptance of the updated Terms.
